Submission No. 3 has been revised to reflect the Companys responses to the comment letter to Amendment No. 1 received on February 6, 2020 from the staff of the Commission (the Staff). Response: The Company respectfully acknowledges the Staffs comment and has revised the disclosure on pages 50 and 140 to clarify that the doctrine of corporate opportunity will not apply against Searchlight.

Response: The Company respectfully acknowledges the Staffs comment and advises the Staff that the customer success stories included in Amendment No. 1 resulted from positive feedback that originated from the customers. The Company encourages its customers to describe their experience with the Companys services. The Company also from time to time surveys its customers regarding their experiences with the Company. In response to positive feedback received, the Company contacted these customers to request their consent to use their story in Amendment No. 1 and, in some cases, requested further detail about their positive experience. The customer success stories included in Amendment No. 1 were obtained in this manner.
The Company supplementally advises the Staff that each of the customers whose success story was included in Amendment No. 1 has consented to the use of its story.
